Lawsonline.com CUSTOMER AGREEMENT (A)
THIS AGREEMENT by and between Lawsonline.com and the undersigned provides:
1. Scope of Services:
This is an agreement to list client’s firm information in the Lawyerslistings.com and Lawsonline.com attorney directory. This is a yearly agreement for a listing, logo and basic website to be created and linked to the Lawyerslistings.com directory and service. This agreement does not include any registration of a URL. This is the client’s duty. Lawsonline.com will provide client with a LAWCHEK e-mail account.
2. Compensation and Term:
Payment for services will be made before service begins and will be a fee based on installments (see pricing as written in at the end of agreement). Lawsonline.com accepts the following methods of payment: check, money order, American Express, Discover Card, MasterCard, and VISA. All checks should be made payable to Lawsonline.com and mailed to 330 First Street S.E., Suite A, Cedar Rapids, IA 52401 USA.
3. Service Conditions:
The information and services included in or available through the Service may include inaccuracies or typographical errors. Changes are periodically added to the information here enclosed. Lawsonline.com and/or its respective suppliers may make improvements and/or changes in the Service at any time. Lawsonline.com does not represent or warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service or the server that makes it available are free of viruses or other harmful components. Lawsonline.com does not warrant or represent that the use or the results of the use of the Service or the materials made available as part of the Service will be correct, accurate, timely, or otherwise reliable. You specifically agree that Lawsonline.com shall not be responsible for unauthorized access to or alteration of your transmissions of data or any material or data sent or received or not sent or received, or any transactions entered into through the Service. You specifically agree that Lawsonline.com is not responsible or liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party or any infringement of another’s rights, including intellectual property rights. You specifically agree that Lawsonline.com is not responsible for any content sent using and/or included in the Service by any third party.
4. Miscellaneous Conditions:
Lawsonline.com shall not be responsible for any damage or delay in performance or failure to perform if caused by acts or occurrences beyond its reasonable control, including, but not limited to, strikes or other labor disputes, riots or other civil disturbances, embargoes, government regulations or requirements (executive, legislative, judicial, military or otherwise), power failure, electrical surges or current fluctuations, lightening, earthquake, flood or water, the elements or other forces of nature, delays or failures of transportation, equipment shortages, suppliers’ failures, or acts or omissions of telecommunications, common carriers (whether or not affiliated with Lawsonline.com).
5. Payment Conditions:
Late payment charges may be assessed on past due amounts at one and one-half percent (1-1/2%) per month or the highest lawful rate, whichever is less. All charges under the terms and conditions of this Agreement are in U.S. dollars.
6. Intellectual Property:
Lawsonline.com shall protect its own intellectual property, but does not purport to protect the intellectual property of any third party content provider. Lawsonline.com may exercise any rights that it has directly through its own ownership of any form of intellectual property, including patents, copyrights, trademarks, Universal Resource Indicators (URL), individually or in conjunction with any third party.
7. General Provisions:
The provisions of this agreement shall comply with all applicable laws and the laws of the jurisdiction of Customer, along with any local laws, rules and regulations. Any provision not in compliance shall be deemed void. If any provision of the agreement is deemed void, but the parties legally, commercially and practically can continue the agreement without a void provision, the remainder of the Agreement will continue in effect. Lawsonline.com obligation shall fall within normal business hours. Any claims or disputes relative to this agreement shall be resolved by arbitration in accordance with the American Arbitration Association. Customer accepts all responsibility for payment of any government taxes of any form or kind which may be deemed payable under this agreement, including, but not limited to, sales, use, excise or unique jurisdictional taxes. Taxes based on either party’s income will remain that party’s responsibility. Finally, it is understood that the products sold by Lawsonline.com in conjunction with this agreement are non-regulated products and services. It is agreed by and between the parties that any disputes under this agreement would be determined by a court of competent jurisdiction at Cedar Rapids, Iowa.
8. Pricing:
The pricing written in below shall constitute installments the number of installments and total amount due and agreed upon by client and Lawsonline.com™. This First installment due shall be remitted before services are rendered. Upon receipt of such payment, Lawsonline.com™ will proceed with processing the order.
